Welcome to Mindstir. These Terms of Service (“Terms”) govern your use of the Mindstir mobile application, website and related services (together, the “Service”), operated by Ellington Electric (“Mindstir”, “we”, “us” or “our”). By downloading, accessing or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
1. Eligibility
You must be at least 13 years old (or the minimum age required in your country) to use the Service. If you are under the age of majority where you live, you may use the Service only with the involvement and consent of a parent or legal guardian.
2. Using Mindstir Without an Account
You can browse the Mindstir catalogue as a guest. Some features, including full summaries, audio narration, saving books to your library, highlights, notes, flash cards and community participation, may require an account and, in some cases, an active subscription.
3. Your Account
- You agree to provide accurate information when creating an account and to keep it up to date.
- You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.
- Notify us immediately at mindstir@ellingtonelectric.com if you believe your account has been accessed without your permission.
- You may delete your account at any time from within the app. Deleting your account permanently removes your account data, including any community posts and comments you have published, as described in our Privacy Policy.
4. Privacy
Your use of the Service is also governed by our Privacy Policy, which explains what information we collect and how we use it.
5. Subscriptions and Payments
- Premium features. Certain content and features are available only to subscribers. The features included in each plan are described in the app at the time of purchase.
- Billing. Subscriptions are purchased and billed through the Apple App Store or Google Play (“App Store”). Payment is charged to your App Store account when you confirm the purchase.
- Automatic renewal. Subscriptions renew automatically at the end of each billing period unless you turn off auto-renewal at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours before the end of the current period.
- Managing and cancelling. You can manage or cancel your subscription in your App Store account settings. Cancellation takes effect at the end of the current billing period; you keep access until then.
- Free trials. If a free trial is offered, any unused portion is forfeited when you purchase a subscription. Unless you cancel before the trial ends, your subscription begins and you are charged automatically.
- Refunds. Refunds are handled by the App Store under its own policies. We cannot issue refunds for purchases made through the App Store.
- Price changes. We may change subscription prices. Any change will apply from your next billing period, and you will be notified as required by the App Store and applicable law.
6. Content on Mindstir
Mindstir provides book summaries, key ideas, quotes, audio narration, flash cards and related content (“Mindstir Content”). Some of this content is created or assisted by artificial intelligence. While we work to make it accurate and useful:
- Mindstir Content is a summary and interpretation. It is not a substitute for the original works and may contain errors or omissions.
- Mindstir Content is provided for general informational and educational purposes only and is not professional financial, legal, medical, psychological or other advice. Always seek a qualified professional before making decisions based on anything you read or hear on Mindstir.
- Book titles, author names and cover images belong to their respective owners and are used for identification purposes only. Their appearance does not imply endorsement by the author or publisher.
7. Books You Upload
If the Service lets you upload your own books or documents:
- You may upload only material that you own or have the legal right to use, and you are solely responsible for doing so lawfully.
- You grant us a limited licence to store, process and analyse your uploads (including with automated and AI tools) only as needed to provide features to you, such as generating summaries, audio and flash cards.
- Uploads are private to you by default. If you choose to make an upload visible to others, it may be subject to our review and approval, and we may decline or remove it at any time.
8. Community and User Content
Mindstir includes community features where you can share insights, start discussions, comment, react to and save posts, and follow other readers. Anything you post or share is “User Content”.
- Sharing publishes a copy. Your highlights, notes and library are private. When you choose to share a highlight or note with the community, a copy of it is published under your public name. Editing or deleting the original later does not change the published copy, though you can delete the post itself.
- Your public name. You must confirm a public display name before publishing. Other users will see this name alongside your posts and comments.
- Ownership and licence. You keep ownership of your User Content. By posting it, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display and distribute it within the Service for as long as it remains on the Service.
- Your responsibility. You are responsible for your User Content and confirm that you have the right to post it.
9. Community Guidelines and Acceptable Use
You agree not to:
- Post content that is unlawful, harassing, hateful, threatening, sexually explicit, defamatory or that invades someone’s privacy;
- Post spam, advertising or misleading content, or impersonate any person or organisation;
- Infringe anyone’s copyright, trademark or other rights, including by posting large portions of copyrighted books;
- Copy, scrape, redistribute, resell or publicly share Mindstir Content (including summaries and audio) outside the Service;
- Attempt to access accounts, systems or data you are not authorised to access, or interfere with the security or operation of the Service;
- Reverse engineer, decompile or attempt to extract the source code of the app, except where the law expressly permits it;
- Use bots or automated means to access the Service, or circumvent rate limits or other restrictions.
You can report posts, comments or users that break these rules from within the app, and you can block other users. We review reports and may remove content, restrict features or suspend accounts at our discretion. Content that receives multiple reports may be hidden automatically while it is reviewed.
10. Intellectual Property
The Service, including its design, software, logos, trademarks and Mindstir Content, is owned by us or our licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service for your own non-commercial purposes. No other rights are granted.
11. Copyright Complaints
We respect intellectual property rights. If you believe content on Mindstir infringes your copyright, please send a notice to mindstir@ellingtonelectric.com that includes: identification of the copyrighted work; identification of the allegedly infringing material and where it appears; your contact details; a statement that you have a good-faith belief the use is not authorised; a statement that the information in your notice is accurate and that you are the owner or authorised to act on the owner’s behalf; and your physical or electronic signature. We may remove the material and terminate the accounts of repeat infringers.
12. Notifications
With your permission, we may send push notifications such as reading reminders and community activity (for example, comments, replies and new followers). You can turn these off at any time in the app’s settings or your device settings.
13. Suspension and Termination
We may suspend or terminate your access to all or part of the Service at any time if you breach these Terms, if required by law, or to protect the Service or its users. You may stop using the Service and delete your account at any time. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability and governing law) will survive.
14. Changes to the Service
We are continually improving Mindstir and may add, change or remove features or content, including books in the catalogue, at any time.
15. Disclaimers
THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE. WE ARE NOT RESPONSIBLE FOR USER CONTENT POSTED BY OTHERS.
16. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ELLINGTON ELECTRIC AND ITS OFFICERS, EMPLOYEES AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD 50. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
17. Indemnity
You agree to indemnify and hold harmless Ellington Electric from any claims, losses or expenses (including reasonable legal fees) arising from your User Content, your uploads, your misuse of the Service or your breach of these Terms.
18. Apple App Store Terms
If you downloaded Mindstir from the Apple App Store, you acknowledge that these Terms are between you and us, not Apple, and that Apple is not responsible for the app or its content. Apple has no obligation to provide maintenance or support for the app. To the maximum extent permitted by law, Apple has no warranty obligation regarding the app and is not responsible for addressing any claims relating to it, including product liability claims, claims that the app fails to meet legal or regulatory requirements, consumer protection claims or intellectual property infringement claims. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You also agree to comply with Apple’s Usage Rules and any applicable third-party terms.
19. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes will be resolved in the courts of the Federal Capital Territory, Abuja, unless the law where you live requires otherwise.
20. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you through the app or by other reasonable means before they take effect. By continuing to use the Service after the changes take effect, you accept the updated Terms.
